Customer Terms and Conditions — Sitwego Application

PLEASE READ CAREFULLY.By continuing to use the Sitwego Application you consent to be bound by these Terms and Conditions. If you do not accept any of these terms, please do not use the Application or any Services offered through it. Your agreement to these T&Cs constitutes a binding agreement between you and Sitwego Ltd.

1. General Terms

This electronic record is generated by a computer system and does not require any physical or digital signatures.

The Services constitute a technology platform that enables users of the Sitwego mobile application or website to arrange and schedule transportation services with independent third-party service providers, including independent third-party transportation and logistics providers.

The Services are made available solely for your personal, non-commercial use. Subject to your compliance with these Terms, Sitwego grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to: (i) access and use the Application on your personal device solely in connection with your use of the Services; and (ii) access and use any content, information and related materials made available through the Services, in each case solely for your personal, non-commercial use. Any rights not expressly granted herein are reserved by Sitwego and its licensors.

IMPORTANT NOTICE: YOU ACKNOWLEDGE THAT SITWEGO DOES NOT PROVIDE TRANSPORTATION OR LOGISTICS SERVICES OR FUNCTION AS A TRANSPORTATION CARRIER OR TAXI COMPANY. ALL SUCH TRANSPORTATION OR LOGISTICS SERVICES ARE PROVIDED BY INDEPENDENT THIRD-PARTY CONTRACTORS AND SERVICE PROVIDERS WHO ARE NOT EMPLOYED BY SITWEGO.

2. Definitions

Account refers to the account created by the Customer on the Application to become a member of the Sitwego Community.
Applicable Laws shall mean and include all applicable statutes, enactments, acts of legislature or parliament, laws, ordinances, rules, by-laws, regulations, notifications, guidelines, policies, directions, directives and orders of any governmental authority, tribunal, board, or court.
Application shall mean the Sitwego mobile application, as may be updated by Sitwego Ltd from time to time, available at sitwego.com.
Authorized Driver shall mean and include such individuals as may be evaluated and appointed by the Authorised Vehicle Operator to provide transportation services.
Authorized Vehicle Operator shall mean and include such third-party individuals and Service Providers who hold valid Public Service Vehicle licenses and roadworthy vehicles and are independently offering vehicle services.
City of Operation shall mean a city in which Sitwego has been launched and in which Customers and Service Providers avail and render transportation services respectively.
Customer / You means a person who has agreed to these Terms and Conditions and has an Account on the Application.
ETA shall mean the estimated time of arrival of the Vehicle at the pick-up point of the Customer, as provided by the Service Provider before the Ride.
ETT shall mean the estimated travel time of the Ride, as provided by the Service Provider during the Ride.
Sitwego / Company / We / Our / Us means Sitwego Ltd, operating the Sitwego mobility platform accessible at sitwego.com.
Registration Data shall mean the present, valid, true and accurate name, identification, email, phone number and such other information as may be required by Sitwego from time to time, provided by the Customer at the time of registration on the Application.
Ride shall mean travel in the Vehicle by the Customer from the pick-up point to the drop point, facilitated through the Application.
Service(s) means the facilitation of transportation services by Service Providers through the Application within the City of Operation.
Service Provider shall mean an Authorized Driver and/or Authorized Vehicle Operator offering the service of transporting Customers within the City of Operation from pick-up points to drop points as communicated by the Customer at the time of booking.
Vehicle / Taxi shall mean a vehicle as defined under the applicable traffic laws.

3. Interpretation

  • Any reference to the singular includes a reference to the plural and vice versa, unless explicitly provided otherwise; and any reference to the masculine includes a reference to the feminine and vice versa.
  • Headings and captions are used for convenience only and will not affect the interpretation of these T&Cs.
  • Any reference to a natural person will, unless repugnant to the context, include their legal heirs, executors and permitted assignees. Similarly, any reference to a juristic person such as Sitwego will, unless repugnant to the context, include its affiliates, successors and permitted assignees.

4. Eligibility

You will be eligible to use the Services only when you fulfil all of the following conditions:

  • You have attained at least 18 (eighteen) years of age.
  • You are competent to enter into a contract under the Applicable Laws.
  • You have a valid registered mobile number.
  • You agree to comply with these Terms and Conditions of use.

If you are not eligible, please immediately abandon any and all attempts to register with us or use our Services. You acknowledge that we rely completely on the information provided by you and we shall not be held liable if you or anyone using your Account to access the Services is not eligible to do so.

5. Registration and Account

  • You may register on the Application only after complying with the eligibility requirements above, using a valid email address or phone number.
  • You shall not impersonate someone else or provide account information, email address or any other information that is not your own. We shall bear no liability for false, incomplete, old or incorrect Registration Data provided by you.
  • You confirm and consent to Sitwego storing the Registration Data provided by you for contacting you for all Service-related matters.
  • We reserve the right to suspend or terminate your Account with immediate effect if we have reason to believe the Registration Data is incorrect or false, or that the security of your Account has been compromised.
  • You will not assign or otherwise transfer your Account to any third party.
  • We allow you to open only one Account per registered mobile number or email address.
  • In case of any unauthorized use of your Account, please reach us immediately at support@sitwego.com or call +254 743 181 173.

By using the Application you further agree that you will not: resell the Application to a third party; authorize others to use your Account; use the Application for unlawful purposes; impair the proper operation of the network; copy or distribute the Application without written permission from Sitwego Ltd; or engage in any activity that could harm, damage or tarnish the Application or the Sitwego brand.

6. Rights, Obligations and Conduct

Sitwego provides a technology-based platform for booking rides within its Cities of Operation. You agree to obtain ride services offered by independent third-party Service Providers through this platform.

  • Sitwego shall take your booking request and forward it to the Service Provider. The Service Provider has sole discretion to accept or reject each request.
  • Sitwego shall make reasonable efforts to connect you with an available Service Provider near your location at the time of your booking.
  • The provision of ride services by the Service Provider is subject to the agreement between you and the Service Provider. Sitwego is never a party to that agreement.
  • You will treat Service Providers with respect and not cause damage to vehicles or engage in any unlawful, threatening, harassing or abusive behaviour.
  • You will comply with all applicable laws and not ask the Service Provider to break any traffic or government rules.
  • You acknowledge there may be delays in reaching your destination and shall have no claim against Sitwego in this regard.
  • You shall not use the Service for emergency hospital visits when in a condition of serious ill health or in any other emergency requiring immediate medical transport.
  • You shall ensure the vehicle assigned to you bears the same registration details specified through the Application.
  • No change in drop location shall be allowed once the Application confirms the booking.
  • You shall take full responsibility for your personal belongings. In case of lost items, Sitwego will try to locate them on a best-effort basis but shall not be responsible for any losses or damages.

7. Use of Application

You agree that your use of the Application shall be strictly governed by the following principles. You shall not:

  • Use the Application for any purpose that is unlawful or prohibited by these T&Cs or Applicable Law.
  • Host, display, upload, modify, publish or transmit any content that is harmful, harassing, defamatory, obscene, misleading, or otherwise unlawful.
  • Use any automated device, program or algorithm to access, acquire, copy or monitor any portion of the Application.
  • Attempt to interfere with, compromise the system integrity or security, or decipher any transmissions to or from our servers.
  • Upload invalid data, viruses, worms, or other harmful software agents through the Application.
  • Reverse engineer, decompile or disassemble any software used to provide the Services.
  • Probe, scan or test the vulnerability of the Application or any network connected to the Application.
  • Impersonate another person or misrepresent your affiliation with any person or entity.
  • Make any negative, denigrating or defamatory statements about Sitwego or its brand, trade marks or goodwill.
  • Engage in advertising to, or solicitation of, other users of the Application to buy or sell any products or services without our prior explicit consent.

You grant Sitwego a non-exclusive, worldwide, perpetual, irrevocable, royalty-free right to use any information or content you provide through the Application, solely to enable us to provide and improve the Services.

8. Content and Intellectual Property

All text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork and computer code contained in the Application is owned, controlled or licensed by or to Sitwego, and is protected by trade dress, copyright, patent and trademark laws and various other intellectual property rights.

Except as expressly provided in these T&Cs, no part of the Application and no Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted or distributed in any way to any other computer, server, website or other medium without our express prior written consent.

All trademarks, brands and service marks used in connection with the Application or Services offered are owned by Sitwego Ltd. For use of any third party's intellectual property, you need to get permission directly from the owner of that intellectual property.

9. Booking Process

You may download the Application on your device to avail the Service. The Service is available only through the Application. To make a booking, you will enter your destination on the booking screen. The pick-up address will be fixed to your location at the time of making the booking.

Upon clicking confirm, the booking confirmation screen will display the ETT and the ride fare. If you agree to the travel time and fare, you will be required to confirm the booking. Please check the drop point before confirming — no changes to the drop location are permitted after confirmation.

In the event the booking is confirmed, you shall check the booking details including ETA and pick-up place, and immediately report any errors to us.

10. Payment

You may choose to pay for the Services by the following methods:

  • Cash: Cash payment shall be made at the time of boarding the vehicle. You shall make best efforts to tender exact change to the Service Provider.
  • Mobile Money (M-PESA): Sitwego will facilitate your payment of applicable charges on behalf of the Service Provider as a limited payment collection agent. Mobile payment shall be made at the time you board the vehicle. Collection of the fare on behalf of the Service Provider does not imply that transportation services are being provided by Sitwego.

Sitwego will generate an invoice on behalf of the driver servicing your request, which will be sent to your registered contact after completion of the Ride. The invoice shall include all applicable charges. Any payment made is non-refundable.

Sitwego reserves the right to establish, remove and/or revise charges for any or all services at any time at its sole discretion. Charges applicable in certain geographical areas may increase substantially during times of high demand.

11. Waiting Policy

The Service Provider shall wait only for 2 (two) minutes for the Customer at the pick-up location. If the Customer does not board within 2 (two) minutes, the Service Provider or Sitwego may cancel the trip and leave the pick-up location. The Customer shall have no claim against Sitwego or the Service Provider in such event.

12. Cancellation Policy

You may cancel the booking as early as possible prior to the boarding of the vehicle and commencement of the Ride, without any cancellation charges. Repeated cancellations may result in restrictions on your Account.

13. Luggage Policy

While using the Service you may not carry any luggage other than personal luggage, provided it does not exceed 30 kg in total. Sitwego will not be liable if the luggage does not fit into the vehicle. You are strictly prohibited from carrying any flammable, commercial or illegal items at all times.

14. Third-Party Services

Sitwego does not take responsibility or liability for the actions, products, content and services of affiliates or third-party websites linked through the Application. We do not warrant the offerings of any of these businesses or individuals, and we do not endorse any third-party website(s) or content thereof.

15. Disclaimers and Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." SITWEGO DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

SITWEGO SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST DATA, PERSONAL INJURY OR PROPERTY DAMAGE RELATED TO, OR OTHERWISE RESULTING FROM, ANY USE OF THE SERVICES.

SITWEGO SHALL NOT BE LIABLE FOR DELAY OR FAILURE IN PERFORMANCE RESULTING FROM CAUSES BEYOND SITWEGO'S REASONABLE CONTROL. THIRD-PARTY TRANSPORTATION PROVIDERS ARE INDEPENDENT CONTRACTORS AND ARE NOT EMPLOYEES OR AGENTS OF SITWEGO LTD.

IN ANY EVENT SITWEGO'S TOTAL LIABILITY TO YOU IN CONNECTION WITH THE SERVICES FOR ALL DAMAGES, LOSSES AND CAUSES OF ACTION SHALL NOT EXCEED KENYA SHILLINGS FIVE THOUSAND (KES 5,000).

16. Termination

Sitwego reserves the right to modify, terminate or suspend Services to you at any time without prior notice due to changes in internal policy, Applicable Laws, any breach of these T&Cs by you, or for any other reason.

You may terminate your Account by submitting a request to us at support@sitwego.com. You will remain responsible for all transactions that occurred prior to termination of your Account.

17. Governing Law

These T&Cs shall be governed by and construed in accordance with the laws of Kenya. Any disputes arising in connection with these T&Cs shall be subject to the exclusive jurisdiction of the courts of Kenya.
